Regulatory & ESG Disclosures

3

Sustainable Finance Disclosure Regulation – Art. 3 – Sustainability risks

LCV Lux GP S.à r.l. does not formally integrate an assessment of sustainability risks in its decision-making process in accordance with Article 3 of the SFDR. This does not exclude, however, that sustainability risks may be considered on a case-by-case basis as part of LCV Lux GP S.à r.l.’s general due diligence process prior to an investment. Where this is the case, such consideration may take the form of negative screens, ESG due diligence questionnaires and/or documentation of ESG risks and opportunities. Such consideration, where undertaken, does not constitute a binding assessment mechanism within the meaning of Article 3 SFDR.

4

Sustainable Finance Disclosure Regulation – Art. 4 – Principal adverse impact

Sustainable Finance Disclosure Regulation requires LCV Lux GP S.à r.l. to make a “comply or explain” decision whether to consider the principal adverse impacts (“PAIs”). In general, sustainability risks could adversely impact LCV Lux GP S.à r.l. investments funds and related investments. LCV Lux GP S.à r.l. does not consider the adverse impacts of investment decisions on sustainability factors in the manner prescribed by Article 4 of the SFDR Regulation. Indeed, LCV Lux GP S.à r.l. considers that an alignment with Article 4 of the SFDR regulation is difficult due to the overall interpretation of the set principal adverse impact rules, maturity level of ESG available data and KPI and diverse ESG source of information. However, LCV Lux GP S.à r.l. will continuously seek to obtain relevant information on potential sustainability risks and evaluate to which extent this information can fulfill the PAI requirements and LCV Lux GP S.à r.l. may review its position on the PAI approach in the future.
